Terms of Service
Effective Date: September 8, 2026
1. Introduction
Welcome to the Services offered by Origin Social LLC, a Delaware limited liability company (referred to herein as "Origin Social," "us," "we," or "our"). These Terms of Service (the "Terms") are an agreement between you and Origin Social and explain the rules that apply when you use the Services described below.
These Terms apply to all Services by Origin Social, whether offered under the Origin Social name or another brand name, including:
(a) Juno, an artificial intelligence ("AI")-powered relationship and dating coach and matchmaking service;
(b) Astra, an AI-powered professional coaching and networking service;
(c) Numa, an AI-powered social coaching and social networking service;
(d) any other application, website, feature, product, interactive AI system, software, content, functionality, or service that Origin Social owns, controls, operates, or makes available now or in the future.
For purposes of these Terms, all of the foregoing are referred to collectively as the "Services."
By signing up for the Services, clicking to accept these Terms, or otherwise using the Services, you are agreeing to be bound by these Terms and any "Additional Terms" that you expressly agree to before accessing certain additional features of the Services. By agreeing to these Terms, you acknowledge and agree that we may process your data and personal information in accordance with our Privacy Policy. It is important that you read these Terms and policies carefully before agreeing to and using the Services.
Arbitration Notice: To the fullest extent permitted by applicable law, Section 19 requires most disputes between you and Origin Social to be resolved through binding individual arbitration rather than in court. Arbitration typically provides less discovery and appellate review than court. Section 19 also includes a jury trial waiver, a waiver of class, collective, and representative proceedings, a small-claims court option, procedures for coordinated or mass filings, your right to opt out of arbitration within 30 days after accepting these Terms, and rules for how these provisions apply to users in different jurisdictions. Nothing in these Terms waives rights that cannot be waived under applicable law.
2. Communications Consent
- Consent to Automated Calls and Text Messages:
- By agreeing to these Terms and providing your phone number, you consent to receive non-marketing, transactional and service-related automated text messages and AI-generated voice calls from Origin Social regarding your account and your use of the Services, whether initiated by us or in response to you.
- Where required under applicable law, including for any marketing texts or telemarketing calls using an artificial or prerecorded voice to wireless numbers, we will obtain your prior express written consent before sending such communications, and include clear and conspicuous disclosures that identify Origin Social, describe the message type and frequency, state that consent to receive promotional messages is not a condition of using the Services or making any purchase, and provide rate disclosures and STOP/HELP instructions. We may obtain such consent electronically.
- Message Frequency: Message frequency varies based on your use of the Services. Message and data rates may apply.
- Opt-Out: You may revoke your consent at any time as follows: To stop receiving text messages, reply STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE to any message. Reply HELP for help. Mobile carriers are not liable for delayed or undelivered messages. We may also send a one-time confirmation of your opt-out (without marketing) and, if you previously consented to multiple categories of messages, a clarification request. Absent your clarification, we will cease all marketing calls or texts for which consent is required.

YOU ALSO ACKNOWLEDGE AND AGREE THAT THE SERVICES MAY BE PROVIDED AS AN "ALPHA," "BETA," OR EARLY-ACCESS RELEASE. AS SUCH, THE SERVICES MAY CONTAIN BUGS, ERRORS, OR INACCURACIES THAT COULD CAUSE FAILURES, CORRUPTION, OR LOSS OF DATA AND INFORMATION. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT ALL USE OF THE SERVICES IS AT YOUR SOLE RISK. WE MAKE NO WARRANTY OR REPRESENTATION REGARDING THE CONDUCT, IDENTITY, OR INTENTIONS OF ANY USER, THE SAFETY OF ANY MEETING, INTERACTION, OR IN-APP CONNECTION, OR THE RESULTS OF ANY INTRODUCTION FACILITATED BY THE SERVICES. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

- Repeat Infringer Policy: In accordance with the DMCA and other applicable law, Origin Social has adopted a policy of terminating, in appropriate circumstances and at our sole discretion, the accounts of users who are deemed to be repeat infringers.
17. Third-Party Sites, Services, and Integrations
- The Services may include links to third-party websites or content. We do not control these and are not liable for them.
- Third-Party Integrations: You acknowledge that the Services integrate with third-party services to provide core functionality, which will result in the transfer of your personal data to and from these third-party services as described in our Privacy Policy.
- EEA/UK Cookies & Tracking: For visitors in the EEA/UK, we obtain prior consent before placing or reading non-essential cookies or similar technologies (including analytics and advertising) and provide balanced "Accept/Reject" choices; non-essential tracking does not run until consent is given.
18. Release and Indemnification; Limitation of Liability
Origin Social's liability is limited to the maximum extent allowed by applicable law.
For purposes of this Section 18, "Origin Social Parties" means Origin Social LLC, its affiliates, and their respective officers, directors, employees, agents, licensors, service providers, contractors, successors, and assigns.
- A. User Release:
- To the fullest extent permitted by applicable law, you release and discharge the Origin Social Parties from any and all claims, causes of action, demands, liabilities, losses, damages, costs, or expenses of any kind whatsoever arising out of or relating to Meetings, member disputes, and your interactions, communications, or connections with other users of the Services or with other third parties you meet, connect, or transact with through or as a result of the Services, whether online, in-app, or in person, and whether or not the Meeting or interaction was arranged or facilitated through the Services, including claims arising from the ordinary negligence of an Origin Social Party and claims relating to personal injury, emotional distress, death, property damage, or financial loss; provided that this release does not extend to claims arising from the fraud, gross negligence, or reckless or willful misconduct of an Origin Social Party, or to any other liability that cannot be released under applicable law.
- The Services, including all Outputs, are provided for informational purposes only as described in Section 4. To the fullest extent permitted by applicable law, you assume all risk of, and release and discharge the Origin Social Parties from, any and all claims, liabilities, losses, damages, costs, or expenses arising out of or relating to your reliance on, use of, or decisions or actions taken or not taken based on the Services or any Output, including claims arising from the ordinary negligence of an Origin Social Party; provided that this release does not extend to claims for death or personal injury (other than claims released under the preceding paragraph), to claims arising from the fraud, gross negligence, or reckless or willful misconduct of an Origin Social Party, or to any other liability that cannot be released under applicable law.
With respect to the foregoing releases, if you are a California resident, you expressly waive California Civil Code Section 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
- B. Indemnification and Hold Harmless: To the extent permitted under applicable law, you agree to indemnify and hold harmless the Origin Social Parties from and against any and all claims, demands, actions, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with:
- Your access to, use of, or alleged use of the Services, except to the extent the claim arises from an Origin Social Party's own negligence, willful or reckless misconduct, or a breach of these Terms;
- Your breach or violation of these Terms, any representation or warranty made by you under these Terms, or applicable law;
- Your Inputs and any Third-Party Content you submit, upload, transmit, or share through the Services, including any claim that such material violates applicable law or infringes, misappropriates or otherwise violates any third party's privacy, publicity, intellectual property, confidentiality, contractual or other rights, or that you have breached your representations and warranties under Section 7 (Inputs and Intellectual Property); or
- Your acts, omissions, interactions, or disputes with other users, including any claims arising from real-world Meetings, dates, communications or other interactions facilitated by or through the Services.
With respect to any third-party claim subject to indemnification under this Section, you also agree to defend the Origin Social Parties against such claim. Origin Social will provide you with prompt written notice of any third-party claim for which it seeks defense or indemnification under this Section. Origin Social may, at its option and at its own expense, assume the exclusive defense and control of any such claim, and you agree to cooperate reasonably with that defense. You may not settle any such claim in a manner that admits liability by, imposes obligations on, or otherwise adversely affects an Origin Social Party without Origin Social's prior written consent.
- C. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE ORIGIN SOCIAL PARTIES BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE, FIXED, OR ENHANCED DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS OR MEETING-RELATED FEES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF AN ORIGIN SOCIAL PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE ORIGIN SOCIAL PARTIES, COLLECTIVELY, TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT PAID, IF ANY, BY YOU TO ORIGIN SOCIAL FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE THE CLAIM AROSE, OR (B) ONE HUNDRED US DOLLARS (US$100).
The exclusions and limitations in this Section 18.C do not apply to liability arising from the fraud, gross negligence, or reckless or willful misconduct of an Origin Social Party, or to any other liability or remedy that cannot be excluded or limited under applicable law, including any non-waivable statutory damages, penalties, or attorneys' fees. The limitations of damages set forth in this Section are fundamental elements of the basis of the bargain between you and Origin Social, reflect a fair allocation of risk in light of the fees (if any) charged for the Services, and will apply even if any limited remedy is found to have failed of its essential purpose.
19. Arbitration Agreement & Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT SIGNIFICANTLY AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO BRING OR PARTICIPATE IN A LAWSUIT IN COURT. EXCEPT AS DESCRIBED BELOW, BY AGREEING TO THESE TERMS YOU AGREE TO RESOLVE ALL DISPUTES (DEFINED BELOW) WITH ORIGIN SOCIAL THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. YOU HAVE THE RIGHT TO OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 19(J) BELOW.
- A. Governing Law; Federal Arbitration Act: This Arbitration Agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1-16 ("FAA"), to the fullest extent permitted by applicable law, and not by the arbitration law of any state. The FAA governs the interpretation, enforceability, and scope of this Arbitration Agreement, even if any other portion of these Terms is governed by the laws of the State of Delaware. The substantive law of the State of Delaware governs all underlying Disputes, without regard to conflict-of-laws rules.
- B. Agreement to Arbitrate; Definitions:
- Agreement. Except as provided in Section 19(C) and Sections 19(M) through 19(N), you and Origin Social agree that any Dispute will be resolved solely by final and binding individual arbitration administered by JAMS, in accordance with the JAMS Consumer Arbitration Minimum Standards, the JAMS Streamlined Arbitration Rules and Procedures (for claims not exceeding USD $250,000), or the JAMS Comprehensive Arbitration Rules and Procedures (for claims exceeding USD $250,000), and, where applicable, the JAMS Mass Arbitration Procedures and Guidelines described in Section 19(I), in each case as modified by this Arbitration Agreement and as in effect at the time the arbitration is commenced (collectively, the "JAMS Rules"). The JAMS Rules are available at www.jamsadr.com or by calling 1-800-352-5267.
- "Dispute" means any dispute, claim, or controversy of any kind, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal or equitable theory, arising out of or relating to: (i) your access to or use of the Services or any related products or services offered by Origin Social; (ii) these Terms; (iii) any advertising, marketing, or communications from Origin Social; or (iv) the existence, breach, termination, enforcement, interpretation, scope, or validity of this Arbitration Agreement, except as set forth in Section 19(G).
- Arbitration is different from court. Arbitration uses a neutral arbitrator rather than a judge or jury. Discovery is more limited than in court. The arbitrator's award is generally final and binding and may be entered as a judgment in any court of competent jurisdiction. The arbitrator has authority to grant any remedy or relief that a court could award on an individual basis under applicable law.
- C. Excluded Claims: The following claims are excluded from the agreement to arbitrate and may be pursued in a court of competent jurisdiction:
- Small Claims. Any claim within the jurisdiction of a small claims court (or equivalent tribunal), provided the claim is filed and maintained on an individual, non-representative, non-class basis and remains in small claims court.
- Provisional and Intellectual-Property Relief. Either party may seek (i) temporary or preliminary injunctive or other equitable relief in aid of arbitration to preserve the status quo or prevent irreparable harm pending the arbitrator's determination, and (ii) emergency, temporary, or preliminary injunctive or other equitable relief to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property or other proprietary rights. Seeking relief under this subsection does not waive the right to arbitrate.
- Mandatory Exceptions. Any claim that a court of competent jurisdiction determines, as a matter of applicable law, cannot be subject to a pre-dispute arbitration agreement.
- D. Pre-Arbitration Notice and Good Faith Resolution:
- Notice. Before initiating arbitration, the party asserting a Dispute ("Claimant") must provide the other party with written notice ("Dispute Notice") that includes: (i) the Claimant's name and the email address associated with the account; (ii) a specific description of the Dispute; (iii) the relief sought; and (iv) the factual and legal basis for the claim. Dispute Notices to Origin Social must be sent both: (1) by email to privacy@originsocial.ai; and (2) by certified mail, return receipt requested, to: Origin Social, LLC, Attn: Legal Department, Origin Social LLC, 268 Post Rd Ste 200, PMB 103432, Fairfield, CT 06824.
- Informal Resolution Period. Following receipt of a Dispute Notice, the parties must engage in good faith efforts to resolve the Dispute informally for sixty (60) days (the "Informal Resolution Period"), which may be extended by mutual written agreement. The statute of limitations applicable to the Dispute is tolled during the Informal Resolution Period. Compliance with this Section is a condition precedent to commencing arbitration. The arbitrator has authority to determine whether this condition has been satisfied and, if it has not, to stay or dismiss the affected demand without prejudice to refiling after compliance. Either party may also ask a court of competent jurisdiction to enforce this Section in aid of arbitration. Nothing in this Section precludes either party from seeking relief for the other party's non-compliance with this process.
- E. Arbitration Procedures:
- Initiating Arbitration. If the Dispute is not resolved during the Informal Resolution Period, either party may initiate arbitration by filing a demand with JAMS in accordance with the JAMS Rules, accompanied by a copy of the Dispute Notice and a certification that the Informal Resolution Period has elapsed.
- Location. If you are a consumer, any arbitration hearing will be conducted by video conference unless you and Origin Social mutually agree otherwise or the arbitrator determines that an in-person hearing is appropriate. Any in-person arbitration hearing will take place in the county or parish in which you reside, unless you and Origin Social mutually agree to a different location. You may request to proceed by telephone or written submissions, subject to the applicable JAMS Rules and the arbitrator's approval. Origin Social expressly waives any right to require you to travel to New York, New York for any consumer arbitration hearing.
- Language. All arbitration proceedings will be conducted in English.
- Arbitrator Authority. The arbitrator has exclusive authority to resolve all Disputes subject to this Arbitration Agreement, except as set forth in Section 19(G). The arbitrator may award any remedy available at law or in equity on an individual basis, including declaratory or injunctive relief and attorneys' fees and costs where permitted by applicable law or these Terms. The arbitrator may not award relief to any person other than the individual parties to the arbitration.
- Reasoned Award. At the request of either party, the arbitrator will issue a written, reasoned award. The award is final and binding and may be entered as a judgment in any court of competent jurisdiction.
- Confidentiality. The arbitrator may issue orders reasonably necessary to protect the confidentiality of trade secrets, proprietary information, and other genuinely sensitive information disclosed in the arbitration. Except as provided by any such order, neither this Arbitration Agreement nor the JAMS Rules require either party to keep confidential the existence of the arbitration, the underlying facts of the Dispute, or the result. Nothing in this Section limits either party's ability to disclose information as necessary to investigate, prepare, or pursue a claim or defense, to enforce or challenge an award, to obtain advice from professional advisors, to comply with applicable law or a governmental request, or to communicate with any government agency.
- Alternative Administrator. If JAMS is unable or unwilling to administer the arbitration, the parties will mutually select a substitute administrator within 30 days. If they cannot agree, either party may petition a court of competent jurisdiction to appoint an arbitrator or select an administrator.
- F. Arbitration Costs and Fees: Origin Social will comply with the JAMS Consumer Arbitration Minimum Standards then in effect with respect to fees and costs. Allocation of fees is as follows:
- For any arbitration you initiate, the only fee you are required to pay is the consumer filing fee set by the JAMS Consumer Arbitration Minimum Standards then in effect (currently USD $250, approximately equivalent to court filing fees), regardless of the amount of your claim. Origin Social will pay all other JAMS filing fees, administrative fees, case-management fees, and arbitrator compensation.
- For any arbitration Origin Social initiates, Origin Social will pay all JAMS filing fees, administrative fees, and arbitrator compensation.
- If you are a California resident, you will not be required to pay the fees or costs incurred by Origin Social if you do not prevail.
- Attorneys' Fees. Each party bears its own attorneys' fees and costs, except that the arbitrator may award attorneys' fees and costs to the extent authorized by applicable law or these Terms. Consistent with the JAMS Rules and the JAMS Consumer Arbitration Minimum Standards, the arbitrator may reallocate fees or award sanctions if the arbitrator determines that a claim or defense was frivolous or filed for an improper purpose.
- G. Delegation of Arbitrability: Except for disputes about: (i) the validity or enforceability of the Class Action Waiver (Section 19(H)); and (ii) the applicability of the Mass Arbitration provisions (Section 19(I)), each of which shall be decided by a court of competent jurisdiction, all disputes regarding the existence, validity, scope, or enforceability of this Arbitration Agreement, including the arbitrability of any Dispute, are delegated to and shall be decided by the arbitrator in accordance with the JAMS Rules.
- H. Class Action Waiver: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH OF YOU AND ORIGIN SOCIAL WAIVE: (A) THE RIGHT TO BRING OR PARTICIPATE IN ANY CLAIM AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING; (B) THE RIGHT TO ACT AS A PRIVATE ATTORNEY GENERAL ON BEHALF OF OTHERS; AND (C) THE RIGHT TO A JURY TRIAL. THE ARBITRATOR MAY ONLY ADJUDICATE INDIVIDUAL DISPUTES AND MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. This Class Action Waiver is subject to Section 19(O) (public injunctive relief) and does not waive any right to representative or public injunctive relief that applicable law makes non-waivable.
- Severability of Class Action Waiver. If this Class Action Waiver is found by a court to be invalid or unenforceable as to a particular claim or requested remedy, then: (i) that specific claim or remedy shall be severed from arbitration and may proceed in a court of competent jurisdiction on an individual basis; (ii) the remainder of this Class Action Waiver shall continue to apply; and (iii) the remaining claims shall proceed in arbitration on an individual basis. If the Class Action Waiver is found unenforceable in its entirety as to any claim, this Arbitration Agreement is void and unenforceable only as to that claim, which shall proceed in court on an individual basis.
- I. Mass Arbitration: This Section provides a fair and efficient process for resolving many similar Disputes and is not intended to impose any barrier to the pursuit of legitimate individual claims.
- Application. If the number of substantially similar arbitration demands required to constitute a mass arbitration under the JAMS Mass Arbitration Procedures and Guidelines then in effect are filed against Origin Social by or with the coordination of the same or coordinated counsel (a "Mass Arbitration"), those demands will be administered under the JAMS Mass Arbitration Procedures and Guidelines then in effect. JAMS will appoint a Process Administrator to resolve preliminary and administrative matters, including whether filing requirements and conditions precedent are satisfied, which demands are included, and whether and how to group the demands.
- Certification. Counsel filing demands that are part of a Mass Arbitration must, in accordance with the JAMS Mass Arbitration Procedures, certify on a per-claimant basis that each claim is warranted and supported by facts specific to that claimant.
- No Binding Bellwether. No determination or award in any individual demand or group of demands has preclusive or binding precedential effect on any claimant who did not participate in that demand or group, except as that claimant agrees in writing.
- Individual Adjudication Preserved. Each claimant retains the right to have their Dispute adjudicated individually on its own merits. Nothing in this Section requires any claimant to await the resolution of any other claimant's Dispute as a condition of adjudicating their own.
- Tolling. The statute of limitations and any JAMS filing deadline applicable to each demand in a Mass Arbitration are tolled from the date the Mass Arbitration is commenced until that claimant's demand is resolved or the claimant withdraws.
- Alternative Administrator. If JAMS declines to administer a Mass Arbitration, the parties will select an alternative administrator by mutual agreement within 30 days, or by court appointment if they cannot agree. Any alternative administrator will apply comparable mass-arbitration procedures that provide each claimant an individual determination, tolling as described above, and no binding bellwether effect.
- J. Opt-Out Right: You may opt out of this Arbitration Agreement by sending written notice to Origin Social within 30 days of the date you first accept these Terms, or within 30 days of the effective date of any material amendment to this Arbitration Agreement (the "Opt-Out Deadline"). To opt out, send an email with the subject line "Arbitration Opt-Out" to privacy@originsocial.ai, or send written notice by certified mail to: Origin Social, LLC, Attn: Legal Department, 268 Post Rd Ste 200 PMB 103432, Fairfield, CT 06824. Your notice must include your name and the email address associated with your account. Opting out does not affect any other provision of these Terms or your access to the Services. If you do not opt out by the Opt-Out Deadline, you waive the right to opt out and will be bound by this Arbitration Agreement. A prior opt-out remains valid and need not be re-submitted in response to any amendment that does not materially change your arbitration rights.
- K. Future Amendments to This Arbitration Agreement: If Origin Social amends this Arbitration Agreement in a way that materially affects your rights, Origin Social will provide at least 30 days' advance notice. You may reject the amendment by sending written notice to Origin Social within 30 days of receiving that notification. Rejection of a future amendment does not constitute rejection of the Arbitration Agreement as a whole; the version in effect when you registered or last accepted will continue to govern your disputes, unless you opt out entirely under Section 19(J).
- L. Severability; Survival: If any provision of this Arbitration Agreement (other than the Class Action Waiver, which is addressed in Section 19(H)) is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect. This Arbitration Agreement survives termination or expiration of these Terms and your relationship with Origin Social.
- M. Special Provisions for Canadian Residents:
- Quebec. If you are a consumer resident in the Province of Quebec, this Arbitration Agreement, the Class Action Waiver, and any provision designating Delaware law as governing law do not apply to you, as such provisions are contrary to public order under the Consumer Protection Act (Quebec), C.Q.L.R. c. P-40.1, and the Civil Code of Quebec. Your rights are governed by the laws of the Province of Quebec, and you may bring claims in the courts of Quebec.
- Other Canadian Provinces and Territories. If you are a consumer resident in any other Canadian province or territory where applicable consumer protection legislation expressly prohibits mandatory pre-dispute arbitration agreements or foreign governing law clauses in consumer contracts as a matter of public order, those provisions will not apply to you to the extent prohibited. Your rights will be governed by the laws of your province or territory of residence, and you may bring claims in the courts of that province or territory.
- N. Special Provisions for EEA and UK Consumers: If you are a consumer habitually resident in a member state of the European Economic Area ("EEA") or in the United Kingdom ("UK"), this Arbitration Agreement and the Class Action Waiver do not apply to you. Nothing in these Terms limits or excludes any mandatory consumer-protection rights you have under the laws of your country of habitual residence, and you retain the right to bring claims before the competent courts of that country. Origin Social will participate in good faith in any alternative dispute resolution process required by applicable law in your country of habitual residence.
- O. Special Provisions for California Residents:
- Public Injunctive Relief. Notwithstanding any other provision of this Arbitration Agreement, if you are a California resident, nothing in this Agreement prevents you from seeking public injunctive relief in a court of competent jurisdiction pursuant to California Business and Professions Code §§ 17200 et seq. (UCL), 17500 et seq. (FAL), or Civil Code §§ 1750 et seq. (CLRA), or any other California statute that expressly authorizes such relief. Any claim for public injunctive relief, defined as relief that has the primary purpose and effect of prohibiting unlawful acts that threaten future injury to the general public, is severed from arbitration and may proceed in a court of competent jurisdiction on an individual basis. All other claims, including any related individual claims for damages or private injunctive relief, remain subject to binding arbitration under this Agreement.
- Severability. If a court determines that any provision of this Arbitration Agreement is unenforceable under California law in a manner not addressed by this Section, that provision shall be severed and the remainder of the Agreement shall continue in full force, to the maximum extent permitted by applicable law.
- P. Contact: Questions regarding this Arbitration Agreement may be directed to Origin Social at privacy@originsocial.ai or at the mailing address set forth in Section 19(D).
20. Special State and Country Terms
- Colorado Safety Policy: Consent is required at all times. Sex without consent is against the law and may result in criminal or civil liability in Colorado.
- New Jersey Residents: Notwithstanding any other terms herein, nothing in these Terms limits your rights under New Jersey law. The disclaimers, releases, indemnifications, and limitations of liability apply only to the maximum extent permitted by New Jersey law.
- International Users: The Services are controlled and operated from the United States and offered to users in the United States and Canada only. Those who access the Services from other countries do so at their own volition and are responsible for compliance with local law. EU residents may have additional rights under the Digital Services Act.
- Canada — Quebec Consumers: If you are a consumer in Quebec, mandatory provisions of the Consumer Protection Act and the Civil Code of Quebec apply to you regardless of any contrary term in these Terms, including provisions on prohibited clauses, your home forum and governing law, and limits on penalties, warranty exclusions, and liability caps. Any term in these Terms that conflicts with those mandatory provisions does not apply to you to the extent of the conflict.
21. Miscellaneous
- Electronic Communications & E-Sign Consent: By using the Services, you consent to receive legal notices, agreements, disclosures, and other communications electronically (via email, SMS, or other types of electronic notifications). You agree that all electronic notices satisfy any legal requirement that such communications be in writing, and you consent to the use of electronic signatures and records to execute these Terms.
- Governing Law, Venue, and Severability: These Terms are governed by Delaware law (without regard to conflicts rules). For claims not subject to arbitration, you and Origin Social consent to exclusive jurisdiction and venue in the state and federal courts located in New York, New York. If any portion of these Terms is held to be unenforceable, it shall be severed.
- Exception for EEA and UK Consumers: If you are a consumer residing in the European Economic Area (EEA), Switzerland, or the United Kingdom, the governing law and arbitration clauses above do not apply to you. Instead, these Terms will be governed by the laws of your country of residence, and any disputes may be brought in the competent local courts of your jurisdiction. Furthermore, nothing in these Terms deprives you of the protection afforded to you by provisions that cannot be derogated from by agreement by virtue of the law of your jurisdiction.
- Waiver & Assignment: The failure of Origin Social to act with respect to a breach of these Terms does not constitute a waiver. We may assign our rights and obligations under these Terms to any party at any time without notice. You may not assign these Terms to any third party.
- Time Limit to File Claims: YOU AND ORIGIN SOCIAL AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, EXCEPT WHERE THIS SHORTER LIMITATION PERIOD IS PROHIBITED BY APPLICABLE LAW. THIS LIMITATION PERIOD IS TOLLED AS PROVIDED IN SECTIONS 19(D) AND 19(I) AND DOES NOT APPLY TO ANY CLAIM UNDER A STATUTE THAT DOES NOT PERMIT ITS LIMITATIONS PERIOD TO BE SHORTENED BY AGREEMENT. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
- Language: The parties hereto confirm that it is their wish that these Terms, as well as other documents relating thereto, including notices, have been and shall be drawn up in the English language only. Les parties aux présentes confirment leur volonté que ces Conditions, de même que tous les documents, y compris tout avis, qui s'y rattachent, soient rédigés en langue anglaise.
- Force Majeure: Origin Social shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, natural disasters, telecommunications outages, or the latency, downtime, or failure of third-party AI models, cloud hosting infrastructure, or voice processing partners.
- Entire Agreement: These Terms, together with any Additional Terms and the Community Guidelines, contain the entire agreement between you and Origin Social regarding the use of the Services, superseding any prior agreements, communications, or understandings between you and us (whether oral or written) regarding the subject matter herein.
- Survival: After your account is suspended, terminated, or deleted, or after you cease using the Services, all terms that by their nature may survive termination of these Terms shall be deemed to survive such termination, including, without limitation, the Arbitration Agreement, Limitation of Liability, Release and Indemnification, and Inputs & Intellectual Property provisions.
